3.1 Transparency and accountability as cross-cutting functions of Good Corporate Governance

Corporate Governance issues differ however, generally two major principles of corporate governance, which also enhance CSR, are identified. In this paper, they are referred to as cross-cutting functions: the transparency function and the accountability function.29

Transparency means that issues concerning the corporation are disclosed timely and accurately. Information needs to be accessible and easy understandable by the stakeholders of a corporation. This includes the financial situation, the firm’s performance and goals, ownership structure, compensation and governance. Through transparency in corporate governance, companies are able to signal managerial and controlling quality.30

Additionally, accountability plays a key role in Good Corporate Governance. It means that a company is accountable to those who are affected by its actions and decisions, thus towards stakeholders and the public.31

Transparency and accountability contribute to Good Corporate Governance and CSR only in combination. Transparency without accountability might ensure that information is available but it lacks when it comes for example to tracing back an incident of fraud. On the other side, systems, which ensure accountability, are not able to contribute to Good Corporate Governance, since the information necessary is not available.

Transparency and accountability are general function, which may foster CSR. They weaken negative effects, such as conflicts of interests and asymmetric information. In the next section (see point 3.2) delivers concrete starting points for Corporate Governance Structures promoting CSR.
